Welcome to DEFINTEL. These Terms of Service ("Terms") govern your use of the DEFINTEL mobile application and website (collectively, the "Service") operated by Justice Apex LLC ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

1. Description of Service

DEFINTEL is a forensic stock data intelligence platform that provides:

• 31 AI-powered data channels scanning 229 tickers continuously
• Institutional-grade market data including SEC insider filings, dark pool flow, gamma exposure, congressional trades, and 13F institutional holdings
• Composite intelligence scoring and ranked watchlists
• Real-time data alerts and notifications via dashboard, Discord, and SMS

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You understand that the data provided is for informational purposes only
• You will comply with all applicable laws and regulations

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your password
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Subscription and Payments

4.1 Subscription Tiers

We offer various subscription tiers with different features and limits. Current pricing and features are displayed on our pricing page and may change with notice.

4.2 Billing

• Subscriptions are billed monthly or annually in advance
• Payments are processed securely through Stripe
• Prices are in USD unless otherwise stated
• You authorize recurring charges until you cancel

4.3 Cancellation and Refunds

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• No refunds for partial months or unused features
• Refunds for annual subscriptions may be considered on a case-by-case basis within 14 days of purchase

5. Data Intelligence Features

5.1 How Intelligence Scoring Works

The Service ingests data from 31 independent channels (SEC filings, dark pool flow, institutional 13F holdings, congressional trades, gamma exposure, options IV, and more), scores each ticker across all channels, and produces a composite ranked intelligence score. The scoring methodology is proprietary.

5.2 Your Responsibilities

• You are solely responsible for any investment decisions you make
• You must conduct your own due diligence before acting on any data
• You understand that DEFINTEL provides data, not financial advice
• You acknowledge that all trading and investing involves risk of loss

5.3 No Guarantees

We do not guarantee:

• Profitability of any investment decisions based on our data
• Accuracy or completeness of any data channel at all times
• Timeliness of data updates or alert delivery
• Continuous availability of all 31 data channels

6. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the Service
• Scrape, harvest, or collect data from the Service
• Resell, redistribute, or sublicense access to the Service
• Use the Service to manipulate markets
• Impersonate any person or entity
• Share your account credentials with others

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Justice Apex LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our written permission.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OF INFORMATION
• UNINTERRUPTED OR ERROR-FREE OPERATION

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL
• WE SHALL NOT BE LIABLE FOR ANY INVESTMENT LOSSES INCURRED BASED ON OUR DATA
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS

10. Indemnification

You agree to indemnify and hold harmless Justice Apex LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your trading activities

11. Third-Party Services

The Service integrates with third-party services including Unusual Whales (dark pool/options flow data), SEC EDGAR (insider filings), Firebase, and Stripe. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

12. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable for any modification, suspension, or discontinuation.

13. Changes to Terms

We may revise these Terms at any time. Material changes will be notified via email or in-app notification. Continued use after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Justice Apex LLC regarding the Service.
